Job Description:
- Joint Venture Project Support
- Assist in the negotiation process between foreign and Chinese investors, helping prepare relevant documents such as letters of intent, joint venture agreements, articles of association, business plans, product distribution agreements, and trademark licensing agreements.
- Support in drafting and organizing all necessary documents for the registration of joint venture companies and help track the registration and establishment process.
- Business Management Support
- Provide administrative and research assistance in long-term enterprise management consulting services for client companies, including personnel, legal, and business operations support.
- Assist in drafting, reviewing, and modifying important contracts (e.g., procurement, sales, OEM processing, distribution agreements) under the guidance of senior team members.
- Help monitor and manage contract disputes between clients and business counterparts, supporting the coordination and communication necessary to resolve issues.
- Assist in gathering evidence and preparing materials for litigation, communicating with legal teams, and tracking the progress of ongoing lawsuits.
- Assist in identifying operational issues within client companies and provide administrative support in proposing solutions.
- Help maintain and support client relationships with local governments and development zones.
- Assist in the preparation of trademark and patent registration applications and help draft associated trademark licensing agreements.
- Support in drafting employee manuals, labor contracts, and other personnel documents. Provide assistance in recruitment processes and labor dispute management.
- Help update and maintain client company registration information with relevant government departments.
III. Site Selection Support for Industrial Projects
- Assist in gathering information on industrial parks and understanding client project requirements.
- Help with preparing reports and supporting documentation for site inspections and project assessments.
- Support in negotiations with industrial park management and property landlords, providing administrative assistance with lease and investment contract terms.
- Assist in the completion of project registration and filing procedures, including business registration, NDRC registration, environmental impact assessments, and special policy applications.
IV. Mergers and Acquisitions, Investments, and Legal Affairs Support
- Assist in the commercial and legal work related to mergers and acquisitions, investments, asset transfers, and debt/credit processing for client companies.
- Support in the preparation of due diligence reports and assist with drafting legal documents related to mergers and acquisitions.
- Provide ongoing administrative support to ensure smooth execution of all processes related to mergers, acquisitions, and investments.
Requirements:
- Master's degree.
- Professional experience in tax law and accounting; expertise in Chinese and international tax law is highly valued.
- Strong leadership and team management skills. Excellent communication and interpersonal skills.
- Fluent in Italian and English, both written and spoken; knowledge of Chinese is an advantage.
